These Terms of Service (these "Terms") govern your access to and use of the website, online storefront, portals, products, and services (collectively, the "Services") operated by Select Staging Supply LLC ("Company," "we," "us," or "our").

By accessing our website, creating an account, browsing our catalog, or placing an order for goods, you ("Client," "Customer," or "you") agree to be legally bound by these Terms, our Privacy Policy, and our Written Return & Refund Policy. If you do not agree with all provisions of these Terms, you must not access or use the Services.

1. Commercial B2B & Trade Status

Select Staging Supply LLC operates strictly as a commercial wholesale trade supplier providing furnishings, case goods, decor, lighting, and related staging fixtures. By placing an order or registering for an account, you represent, warrant, and certify that:

  • You are purchasing products solely for commercial, business, professional staging, interior design, corporate, or resale purposes, and not for personal, family, or household consumer use.

  • You are an authorized representative of a legitimate business entity or commercial enterprise with full legal authority to bind that entity to these Terms.

  • Consumer protection statutes intended strictly for ordinary retail retail-to-consumer transactions do not apply to purchases made through these Services to the fullest extent permitted by applicable law.

2. Account Security & Verification

To access trade pricing, place wholesale orders, or track shipments, you may be required to register for an account. You agree to provide true, accurate, current, and complete information during registration. You are solely responsible for safeguarding your login credentials and preventing unauthorized access to your account. You agree to accept liability for all activities, orders, and charges incurred under your account. Select Staging Supply LLC reserves the right to suspend or terminate accounts, refuse service, or cancel orders at our sole discretion.

3. Orders, Pricing, and Acceptance

  • Order Acceptance: The receipt of an electronic order confirmation does not signify our acceptance of your order, nor does it constitute an offer to sell. Select Staging Supply LLC reserves the right, without prior notification, to accept, limit, or decline your order for any reason, including product unavailability, supplier allocation issues, or errors in pricing or product descriptions.

  • Pricing & Typographical Errors: Wholesale prices, promotions, and specifications are subject to change without notice prior to formal order fulfillment. In the event a product is listed at an incorrect price due to typographical, supplier, or technical error, we reserve the right to cancel or void any orders placed at the erroneous price, refunding any payments received.

  • Taxes & Exemption Certificates: You are responsible for all applicable state, local, sales, use, excise, or value-added taxes associated with your order. If you claim a sales tax exemption for resale or commercial wholesale trade (such as Virginia Form ST-10 or another state resale exemption certificate), you must furnish a valid, executed exemption certificate prior to order placement. If a certificate is determined invalid, revoked, or rejected by tax authorities, you agree to immediately pay and indemnify us for any assessed taxes, penalties, and interest.

4. Shipping, Freight, and Delivery Terms

  • Fulfillment & Transit Times: Stated fulfillment times (typically 1–3 business days) and transit times (typically 5–8 business days) are good-faith estimates only. Because inventory routes through manufacturer production lines, freight distribution hubs, and third-party commercial carriers, transit dates cannot be unconditionally guaranteed.

  • LTL Freight & Curbside Delivery: Large furnishings and bulk shipments ship via Less-Than-Truckload (LTL) motor freight. Standard delivery is strictly curbside, driveway, or commercial receiving dock delivery. Drivers are not authorized, insured, or required to move merchandise inside premises, unpack crates, navigate stairways, or perform assembly.

  • Consignee Inspection & Damage Protocol:

    • Obvious External Damage: You or your designated agent must inspect all cartons, crates, and pallets prior to signing the delivery receipt or Bill of Lading (BOL). Any visible punctures, crushed packaging, or broken skids must be explicitly recorded on the driver's delivery receipt as "Damaged Upon Arrival" or refused.

    • Concealed Damage & Shortages: Any concealed structural damage or missing items must be documented with clear photographic evidence and reported to colton@selectstagingsupply.com within forty-eight (48) hours of delivery. Failure to record visible damage upon receipt or report concealed damage within 48 hours forfeits your right to carrier insurance claims and supplier replacement remedies.

5. Returns, Cancellations, and Restocking

All product returns, cancellations, and exchanges are governed strictly by our Written Return & Refund Policy, which is incorporated herein by reference:

  • Final Sale Items: Custom-manufactured goods, assembled pieces, special project container orders, closeouts, and any merchandise that has been placed, installed, or utilized in a home staging project are strictly Final Sale and ineligible for return.

  • Authorized Returns & Restocking Fees: Eligible returns must obtain a formal Return Merchandise Authorization (RMA) within fourteen (14) days of delivery. All authorized voluntary returns are subject to a 20% restocking fee and deduction of all actual transit and return freight expenses.

  • Unauthorized Shipments: Shipments sent back without a designated RMA, or shipped to our registered agent or corporate administrative offices, will be rejected at the carrier dock at the sender's sole expense.

6. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL PRODUCTS FURNISHED THEREUNDER ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

SELECT STAGING SUPPLY LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, WORKMANLIKE QUALITY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT PRODUCT DESCRIPTIONS, COLOR ACCURACY ON COMPUTER MONITORS, DIMENSIONS, OR SPECIFICATIONS ARE ENTIRELY ERROR-FREE, NOR DO WE WARRANT THAT USE OF OUR FURNISHINGS GUARANTEES ANY SPECIFIC REAL ESTATE APPRAISAL, HOME SALE, LEASE, OR FINANCIAL OUTCOME. ANY MANUFACTURER WARRANTIES ARE PASSED THROUGH SOLELY TO THE EXTENT ASSIGNABLE BY THE ORIGINAL EQUIPMENT MANUFACTURER.

7. Limitation of Liability

IN NO EVENT SHALL SELECT STAGING SUPPLY LLC, ITS OFFICERS, DIRECTORS, MANAGERS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOST REAL ESTATE COMMISSIONS, DELAYED HOME CLOSINGS, CANCELLED OPEN HOUSES, STAGING DE-STAGING DELAYS, LOSS OF CLIENT GOODWILL, OR PROPERTY DAMAGE, ARISING OUT OF OR IN CONNECTION WITH THE USE, INABILITY TO USE, DEFECT, DELAY, OR DELIVERY OF ANY PRODUCTS ORDERED THROUGH THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS, DISPUTES, OR ACTIONS OF ANY KIND ARISING FROM OR RELATED TO THESE TERMS OR ANY PRODUCT SALE SHALL NOT EXCEED THE TOTAL PURCHASE PRICE ACTUALLY PAID BY YOU TO SELECT STAGING SUPPLY LLC FOR THE SPECIFIC ORDER OR UNIT OF MERCHANDISE GIVING RISE TO THE LIABILITY.

8. Indemnification

You agree to defend, indemnify, and hold harmless Select Staging Supply LLC, its members, managers, officers, and contractors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or reasonable legal fees resulting from:

  1. Your breach or violation of these Terms;

  2. Your utilization, assembly, installation, or staging placement of any purchased merchandise;

  3. Any personal injury or real property damage caused by furnishings in your possession or installed inside client properties;

  4. Any dispute between you and your staging clients, property owners, realtors, or third-party contractors.

9. Intellectual Property

All website layout, branding, logos, trademarks, text, product photography, software code, and promotional assets displayed across the Services are the exclusive property of Select Staging Supply LLC, Shopify, or its manufacturer licensing partners. No license is granted to copy, download, republish, scrap, or redistribute our proprietary product imagery or branding for external public commercial purposes without our express written consent.

10. Governing Law and Dispute Resolution

  • Governing Law: These Terms and any dispute arising from your commercial relationship with Select Staging Supply LLC shall be governed by, construed, and enforced in accordance with the substantive laws of the State of Colorado, without regard to principles of conflicts of law, except that the United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

  • Jurisdiction & Venue: Any legal action, suit, or proceeding arising under these Terms shall be instituted exclusively in the state or federal courts located in the City and County of Denver, Colorado (or the appropriate state/federal court having jurisdiction over Company's primary corporate registration). Both parties consent to personal jurisdiction and venue in such courts and waive any objections based on improper venue or inconvenient forum.

  • Attorneys' Fees: In the event of litigation or formal arbitration to enforce rights under these Terms, the prevailing party shall be entitled to recover reasonable attorneys' fees, court filing fees, and associated collection expenses.

11. Severability & Entire Agreement

If any provision of these Terms is deemed unlawful, void, or unenforceable by a court of competent jurisdiction, that specific provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions. These Terms, alongside our Privacy Policy and Written Return & Refund Policy, constitute the entire legal agreement between you and Select Staging Supply LLC regarding the purchase and supply of wholesale goods.
